2. Ordering and Payment

2.1 Order Process

• All orders must be placed via email and confirmed by Tuhu Fasteners.

• An order becomes binding once we receive a 30% down payment.

• Production scheduling will begin only after receiving the down payment. The production cycle typically ranges from 30 to 60 days, depending on the order volume.

• Modification or cancellation: Once production has started, orders cannot be modified or canceled.

2.2 Payment Terms

• Down Payment: A 30% non-refundable down payment is required to confirm and process your order.

• Balance Payment: The remaining balance must be paid in full before shipment.

• Payment Methods: We only accept wire transfer (T/T). Payments via credit card, check, or other methods are not accepted.

2.3 Pricing & Adjustments

• Prices are quoted in CAD (Canadian Dollars) and USD (U.S. Dollars) and are subject to change without prior notice due to fluctuations in raw material costs or market conditions.

• If a down payment is delayed beyond two weeks, the original quotation may be void, and the price will be recalculated based on current market conditions.

2.4 Consequences of Non-Payment

• If the balance is not paid within the agreed timeframe, Tuhu Fasteners reserves the right to delay shipment or cancel the order.

• If full payment is not received before shipment, the customer forfeits the down payment, and we reserve the right to take legal action, including engaging collection agencies.

3. Shipping and Delivery (FOB Terms)

3.1 Shipping Terms

• All shipments are made under FOB (Free On Board) terms.

• Risk and ownership transfer to the customer once the goods are loaded onto the transport vessel at the agreed port of shipment.

3.2 Customer Responsibilities

• The customer assumes all costs and risks from the port of shipment to the final destination, including:

✅ Insurance

✅ Import duties and taxes

✅ Customs clearance

3.3 Shipping Delays

• Tuhu Fasteners is not responsible for delays caused by external factors such as weather conditions, carrier issues, or port congestion.

3.4 Shipping Documents

• We will provide all necessary shipping documents (bill of lading, commercial invoice, and packing list) upon shipment.

4. Returns, Exchanges, and Refunds

4.1 Return Policy

• Returns and exchanges are only accepted if the goods are defective or incorrect.

• Custom-made or specially ordered products are non-returnable and non-exchangeable, unless defective.

• Returns must be requested within 10 business days of receiving the goods.

4.2 Refund Process

• Refunds will be issued only for the product cost and will be processed within 10 business days after the returned product is received and inspected.

• Refunds may take 10-20 additional business days to appear in your payment account, depending on your bank or provider.

5. Limitation of Liability

5.1 Maximum Liability

• Tuhu Fasteners’ total liability is limited to the total amount paid by the customer for the order.

5.2 Exclusion of Indirect Damages

• We are not liable for indirect, incidental, or consequential damages, including but not limited to:

❌ Shipping delays beyond our control

5.3 Force Majeure

• We shall not be liable for delays or failures in performance due to causes beyond our reasonable control, including but not limited to natural disasters, governmental actions, strikes, supply chain disruptions, wars, cyber-attacks, pandemics, or transport delays.

6. Data Protection & Privacy

• We comply with PIPEDA (Personal Information Protection and Electronic Documents Act of Canada).

• We do not sell or share personal data with third parties for marketing purposes.

• Customers may request access to, correction of, or deletion of their personal data by contacting sales@tuhufasteners.com.

7. Dispute Resolution

• Any dispute shall first be resolved through good faith negotiations.

• If no resolution is reached within 30 days, the dispute shall be submitted to binding arbitration in Ontario, Canada, in accordance with the Arbitration Act of Ontario.

• Each party shall bear its own arbitration costs unless otherwise determined.
