Welcome to TuHu Fasteners & Manufacturing Inc.

By using our website and services, you agree to comply with the following Terms and Conditions. Please read them carefully before placing any orders.

1. Definitions

“We”, “us”, and “our” refer to TuHu Fasteners & Manufacturing Inc. (hereinafter referred to as “Tuhu Fasteners”). “You” and “your” refer to the customer or user of our services.

2. Ordering and Payment

2.1 Order Process

All orders must be placed via email.

Once an order is confirmed by Tuhu Fasteners, it shall be deemed accepted.

The order will be considered binding and accepted by Tuhu Fasteners upon receipt of the required down payment.

Production scheduling will start once the down payment is received, and the production cycle typically ranges from 30 to 60 days, depending on the order volume.

Once production scheduling begins, the order cannot be modified or canceled.

• Down payment Requirement

A 30% down payment is required to confirm and process your order. The order will be considered effective only upon receipt of the down payment.

• Full Payment

The remaining balance must be paid in full prior to shipment of the goods.

• Payment Methods

We only accept payment via wire transfer (T/T). We do not accept payments by check, credit card, or other methods.

2.2 Pricing

• Currency

Prices quoted are in Canadian dollars (CAD) and U.S. dollars (USD) and are subject to change without prior notice. All prices are exclusive of applicable taxes and shipping fees.

• Price Adjustment

Tuhu Fasteners reserves the right to adjust the prices of products or services at any time, particularly in cases of significant fluctuations in raw material costs, changes in market conditions, or modifications to the order quantity. Any price adjustments will be communicated to the customer before order confirmation.

2.3 Payment Terms

• Down Payment

The customer must pay the down payment within one week from the date of order confirmation. Any delay in down payment may affect the production schedule and delivery schedule.

• Balance Payment

The remaining balance must be paid in full prior to shipment. If the balance is not paid within the agreed timeframe, Tuhu Fasteners reserves the right to delay shipment or cancel the order.

• Price Recalculation for Delayed Down payment

If the customer fails to pay the down payment within two weeks after order acceptance, the original quotation may be considered void, and the price will be recalculated based on current market conditions. The customer will be notified of the updated price via email or other specified means.

• Consequences of Non-Payment

If the customer fails to issue payments within the agreed period, Tuhu Fasteners reserves the right to take all legally permissible actions, including but not limited to suspending production, delaying delivery, and initiating legal action to recover the outstanding amounts.

• Refusal to Ship Due to Unpaid Balance

If full payment is not received prior to shipment from the factory, Tuhu Fasteners reserves the right to refuse shipment. Any resulting consequences, such as shipping delays or related issues, will be the customer’s responsibility. In such cases, any down payment made will be retained as compensation for losses incurred due to the shipment delay, and the customer will be required to pay the retained down payment amount along with the remaining balance when settling the outstanding payment.

• Legal Actions and Collection Fees

If the customer fails to make the required payments, Tuhu Fasteners reserves the right to take legal action to recover the debt, including engaging collection agencies. The customer will be responsible for all costs associated with such collection actions, including legal fees, administrative costs, and any other charges incurred in the recovery process.

The prices stated in the order confirmation are final, unless otherwise agreed in writing.

3. Shipping and Delivery（FOB Terms)

3.1 FOB Definition

All shipments are made under FOB (Free On Board) terms. The risk and ownership of the goods transfer to the customer once the goods are loaded onto the transport vessel at the agreed port of shipment.

3.2 Shipping Responsibility

Tuhu Fasteners is responsible for arranging the transportation of goods to the port of shipment. The customer assumes responsibility for all costs and risks associated with transportation from the port of shipment to the final destination, including but not limited to freight charges, insurance, and any applicable taxes or customs duties.

3.3 Shipping and Delivery Time

Goods will be shipped upon receipt of full payment. Estimated delivery times vary depending on the shipping carrier and transport routes.

3.4 Shipping Costs

The customer is responsible for paying all shipping costs, including freight, insurance, import duties, taxes, and any other related fees from the point of shipment onward.

3.5 Risk of Loss or Damage

Risk of loss or damage passes to the customer once the goods are loaded onto the transport vessel at the port of shipment. The customer is responsible for any loss or damage occurring during transportation thereafter.

3.6 Insurance

The customer is responsible for obtaining insurance for the goods during transportation from the port of shipment to the final destination.

3.7 Customs and Import Procedures

The customer is responsible for clearing customs and handling all import procedures at the destination port, including payment of import duties, taxes, and any other fees required by local authorities.

3.8. Shipping Delays

Tuhu Fasteners is not responsible for delays caused by external factors, including but not limited to weather, shipping carrier issues, or port congestion. Any delays in delivery due to such factors will be the responsibility of the customer.

3.9 Shipping Documents

Tuhu Fasteners will provide the customer with all necessary shipping documents, including the bill of lading, commercial invoice, and packing list, upon shipment. The customer is responsible for ensuring the proper handling of these documents for customs clearance.

4. Returns, Exchanges, and Refunds

4.1 Return and Exchange Conditions

• Returns and exchanges will not be accepted unless the goods are defective or the wrong item was delivered. If the goods received are not as ordered or fail to meet the agreed specifications, the customer may request a return, refund, or replacement shipment.
• All return or exchange requests must be made within the specified period after receiving the goods, as outlined in our return and exchange policy.
• Custom-made or specially ordered products are non-returnable and non-exchangeable unless they are defective or incorrect.
• Products must be unused, undamaged, and in their original packaging to be eligible for return or exchange.

4.2 Refund and Exchange Processing

• All return or exchange requests must be made within 10 business days of receiving the goods.
• The return or exchange process will be completed within 30 business days after the product is received and inspected.
• Refunds will be issued to the original payment method for the product cost only.

4.3 Timeframe for Refunds

Refunds will be processed within 10 business days after the return or exchange process is completed. Please note that it may take an additional 10-20 business days for the refund to appear on your payment method, depending on your bank or payment provider.

4.4 Rejected Returns and Exchange

Tuhu Fasteners reserves the right to refuse any returns that do not meet the above criteria. If a return is rejected, the product will be returned to the customer at their expense.

5. Limitation of Liability

Our liability is limited to the total amount paid for the product. We are not liable for any indirect or consequential damages.

5.1 Limitation of Scope

To the fullest extent permitted by law, Tuhu Fasteners’ total liability in any circumstance shall be limited to the total amount paid by the customer for the specific product or service that gave rise to the claim.

5.2 Exclusion of Consequential and Special Damages

Tuhu Fasteners shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of business, or loss of data, arising from the use or inability to use our products or services, even if Tuhu Fasteners has been advised of the possibility of such damages.

5.3 Exclusion of Third-Party Liability

Tuhu Fasteners shall not be liable for any claims, damages, or losses arising from third-party actions, including but not limited to issues caused by third-party vendors, service providers, or carriers.

5.4 Force Majeure

Tuhu Fasteners shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of nature, government actions, labor disputes, or technical failures.

5.5 Enforceability of Limitation

If any provision of this Limitation of Liability is found to be invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.

5.6 Scope of Liability

Tuhu Fasteners’ liability is limited solely to the product or service provided. We are not liable for any damages resulting from the use or misuse of the product once it has been delivered to the customer.

5.7 Delays and Performance

Tuhu Fasteners shall not be held liable for any loss or damage arising from delays in delivery or performance, whether due to circumstances beyond our control or otherwise.

6. Intellectual Property Protection

6.1 Ownership of Content

All images, text, logos, trademarks, designs, and other content (collectively referred to as “Content”) on the Tuhu Fasteners website are owned by or licensed to Tuhu Fasteners & Manufacturing Inc. and are protected by intellectual property laws, including copyright, trademark, and other relevant laws. All rights are reserved.

6.2 Use of Content
